HVAC Suite is a professional field sales tool designed for HVAC businesses. The Service includes features such as:

• Auto-generated comparison charts and graphs for product presentations.
• PDF report generation and management.
• Product information storage and retrieval.
• Fill-and-sign invoices, warranty forms, and other PDF documents.
• Customizable workflows tailored to your sales process.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

Access to certain features of the Service requires a consultation and account setup. You agree to provide accurate, current, and complete information during onboarding and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

5. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to transmit any unlawful, harmful, or fraudulent content.
• Attempt to gain unauthorized access to any portion of the Service or its systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools or bots to scrape, crawl, or extract data from the Service.
• Resell, sublicense, or redistribute the Service without prior written consent.

6. Intellectual Property

All content, features, functionality, logos, and software within the Service are and remain the exclusive property of HVAC Suite and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond a limited, non-exclusive, non-transferable license to use the Service as intended.

Any data, documents, or content you create using the Service remains your property. By using the Service, you grant us a limited license to process and store your content solely to provide and improve the Service.

7. Payment and Billing

Pricing and billing terms for HVAC Suite are established during the consultation and onboarding process and are specific to each customer's configuration and requirements. All fees are outlined in your service agreement. Failure to pay may result in suspension or termination of your account.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, including business processes, pricing, and customer data. This obligation survives the termination of these Terms.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the fullest extent permitted by applicable law, HVAC Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the fees paid by you in the three months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless HVAC Suite and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice. You may terminate your use of the Service at any time by contacting us. Upon termination, your right to use the Service will immediately cease, and we may delete your data in accordance with our data retention policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration or the courts of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify active users where appropriate. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
